Terms of use

1. Acceptance

These Terms of Use (the "Terms") form a binding agreement between you and MagenX Security ("MagenX", "we", "us") and govern your access to and use of magenxsecurity.com and every page, feature and service offered on it, including the MagenX SI assistant and the demonstration request (together, the "Site"). By accessing or using the Site you confirm that you have read, understood and accepted these Terms. If you use the Site on behalf of an organisation, you confirm that you are authorised to accept these Terms for it. If you do not accept these Terms, you must not use the Site.

2. The Site and the MagenX products

The Site provides general information about MagenX and its products. Nothing on the Site is an offer, a quotation, a warranty or a commitment of any kind. Any licence to a MagenX product is granted only under a separate written agreement signed by MagenX, and that agreement alone governs the product. Descriptions, examples, figures, sample data and illustrations on the Site are for information only and may not reflect the product available to you.

3. No professional advice

Content on the Site, including any answer given by MagenX SI, is general information and does not constitute security, legal, compliance or other professional advice. You are solely responsible for decisions you make about your systems and for verifying any information before you rely on it.

4. MagenX SI

MagenX SI is an automated assistant. Its answers are generated by software and may be inaccurate, incomplete or out of date. Answers do not bind MagenX and do not modify these Terms or any agreement. Only a written statement from MagenX is authoritative. Do not submit confidential information, personal data of other people, or information you are not entitled to share. MagenX may change, limit, suspend or withdraw MagenX SI at any time without notice.

5. Your submissions

You are responsible for the accuracy and lawfulness of anything you submit through the Site, including questions, demonstration requests and other messages ("Submissions"). Submissions are not treated as confidential. You grant MagenX a worldwide, royalty-free, perpetual licence to use, store and process Submissions to operate, improve and promote the Site and its products, and to respond to you. Personal data in Submissions is handled as described in our Privacy Policy.

6. Acceptable use

You agree not to, and not to attempt to: (a) use the Site in breach of any law or of any person's rights; (b) interfere with, disrupt, overload, probe, scan or test the security of the Site or the systems and services behind it; (c) access the Site by automated means, or copy, scrape, harvest or index its content, except for search engines indexing public pages; (d) manipulate MagenX SI, extract its instructions or use it for any purpose other than learning about MagenX; (e) submit malicious code, or content that is unlawful, misleading or offensive; or (f) use the Site to develop or market a competing product or service. MagenX may suspend or block access to the Site at its discretion, without notice and without liability.

7. Intellectual property

The Site and all of its content, including text, design, graphics, images, animations, software, the MagenX name and the MagenX emblem, are owned by MagenX or its licensors and are protected by intellectual property laws. Except for viewing the Site for your own information and sharing links to it, no right or licence is granted to you. You may not copy, modify, distribute, publish or create works derived from the Site without our prior written consent.

Names of third-party companies and products appear on the Site only to identify the systems MagenX works with. They are trademarks of their respective owners, and their appearance does not imply any affiliation with, endorsement by or sponsorship from those owners.

8. Third-party sites and services

The Site may link to or rely on websites and services operated by third parties. MagenX does not control them and is not responsible for their content, availability, practices or terms. Your use of them is at your own risk and subject to their terms.

9. Disclaimer of warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, MAGENX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. MAGENX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS CONTENT IS FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAGENX, ITS AFFILIATES AND THEIR DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY. MAGENX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100). Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the smallest extent the law permits.

11. Indemnity

You agree to indemnify, defend and hold harmless MagenX, its affiliates and their directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising from your use of the Site, your Submissions, or your breach of these Terms or of any law or third-party right.

12. Changes

MagenX may change the Site, or these Terms, at any time. Changes to these Terms take effect when posted, as shown by the date at the top of this page. Your continued use of the Site after a change means you accept the updated Terms.

13. General

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; MagenX may assign them without restriction. These Terms, together with the Privacy Policy, are the entire agreement between you and MagenX about the Site and supersede any prior understanding about it.
